Please read these Terms of Use (“Terms”) carefully before accessing or using the Panaloko website and application (collectively, the “Service”), operated by Panaloko (“we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy and Policy Statement. If you do not agree to all Terms, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that:
- You meet the age requirement.
- You have the legal capacity to enter into a binding contract.
- You are not located in a jurisdiction where use of the Service is prohibited by law.
- You are not on any applicable sanctions or exclusion lists.
- All information you provide is accurate, current, and complete.
We reserve the right to verify your identity and age at any time. Providing false information is grounds for immediate termination.
2. Account Registration and Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to notify us immediately of any unauthorized access or security breach.
- You may not share, sell, transfer, or license your account to another person.
- We are not liable for losses arising from your failure to secure your account.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Impersonate any person or entity or misrepresent your affiliation.
- Engage in fraud, money laundering, or other illegal activities.
- Transmit malware, viruses, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to systems or data.
- Harass, abuse, or harm other users.
- Use automated systems (bots, scripts) without our express written permission.
4. Intellectual Property
The Service and its original content, features, and functionality are owned by Panaloko and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not:
- Reproduce, distribute, modify, or create derivative works without written permission.
- Remove copyright or proprietary notices from any materials.
- Use our trademarks without prior written consent.
User-generated content remains your property, but you grant Panaloko a worldwide, non-exclusive, royalty-free license to use, display, and distribute it within the Service.
5. Payments and Virtual Items
- All payments are processed through third-party payment providers. Their terms apply.
- Prices are displayed in applicable currencies and may be subject to taxes and fees.
- Virtual items, credits, or currencies have no real-world monetary value and are non-refundable except as required by law.
- We reserve the right to modify pricing with reasonable notice.
6. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- Results obtained from using the Service will be accurate or reliable.
- Any errors in the Service will be corrected.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANALOKO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to liability, or $100 USD, whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless Panaloko and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.
9. Termination
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms.
- Fraudulent or illegal activity.
- Extended periods of inactivity.
- Any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) shall survive.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Manila, Philippines, under the rules of the Philippine Dispute Resolution Center. You waive any right to participate in class actions.
11. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service. Continued use after changes constitutes acceptance. If you do not agree to revised Terms, discontinue use and close your account.
12. Third-Party Services
The Service may integrate with or link to third-party services (e.g., payment processors, social media platforms, support resources). We are not responsible for their content, policies, or practices. Use of third-party services is at your own risk and subject to their respective terms.
13. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy and Policy Statement and Responsible Gaming policies, constitute the entire agreement between you and Panaloko regarding the Service.
